This Terms of Service ("Terms") constitutes a legally binding agreement between Soothii (ABN 63 430 940 617) ("Soothii", "we", "us", or "our") and any individual or entity ("you", "user", or "customer") accessing or using our websites, main Shopify e-commerce storefront (soothii.com), independent landing pages, interactive quiz funnels, direct checkout funnels, and related online services (collectively, the "Services").

By accessing our storefront, participating in an interactive quiz, placing an order, or submitting information through our landing pages, you agree to be bound by these Terms, our Master Privacy Policy, our Master Refund Policy, and our Master Medical Disclaimer. If you do not agree to all of these Terms, you must not access our Services or purchase our products.

1. ELIGIBILITY & USER ACCOUNTS

  • Age Limit: By using our Services or purchasing products, you represent that you are at least 18 years of age or the legal age of majority in your jurisdiction, or that you are accessing the Services with the consent and supervision of a parent or legal guardian.

  • Shopify Customer Accounts: If you create an account on our main Shopify storefront, you are responsible for maintaining the confidentiality of your account credentials, login password, and for restricting access to your computer or device. You agree to accept responsibility for all activities that occur under your account.

  • Accuracy of Information: You agree to provide accurate, current, and complete purchase, delivery, account, and contact details for all transactions executed across our storefront and sales funnels.

2. PRODUCTS, ORDERS & PRICING

2.1. Product Availability & Descriptions

Soothii handcrafts wheat bags and thermal care products. We attempt to display the colors, specifications, and descriptions of our products as accurately as possible. However, because our items feature natural grains and fabrics, subtle variations in pattern, texture, or weight may occur. We reserve the right to limit sales quantities or discontinue products at any time without notice.

2.2. Order Acceptance & Price Adjustments

  • Order Confirmation: Receipt of an automated order confirmation email does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell.

  • Order Rejection/Cancellation: We reserve the right to decline or cancel any order placed on our Shopify storefront or landing pages for reasons including, but not limited to, product unavailability, errors in product descriptions or pricing, suspicions of fraud, or unauthorized reselling. If your order is canceled after your payment has been processed, we will issue a full refund to your original payment method.

  • Currency & Pricing Changes: Prices displayed on our Australian storefront are in Australian Dollars (AUD) and include GST where applicable, unless otherwise stated. Prices for New Zealand or international funnels may display local currency. We reserve the right to adjust prices at any time without prior notice.

3. INTERACTIVE QUIZ FUNNELS & AUTOMATED RECOMMENDATIONS

If you participate in an interactive quiz assessment on our landing pages or sales funnels (e.g., questionnaires evaluating evening habits, relaxation preferences, or general stress levels), the following terms specifically apply:

INTERACTIVE QUIZ DISCLAIMER

  • Informational & Non-Diagnostic: Quiz questions and results are generated via automated conditional logic designed solely to match your self-reported lifestyle inputs with relevant Soothii product types, thermal formats, or scents. Quizzes do not perform clinical evaluations or medical diagnoses.

  • Voluntary Participation: Answering quiz questions is entirely voluntary. You may skip the quiz at any time to browse products directly.

  • No Guarantee of Specific Results: Recommendations provided at the conclusion of a quiz are suggestions for comfort and general relaxation. They do not guarantee specific physiological, therapeutic, or stress-reduction outcomes.

4. SHIPPING, DELIVERY & TITLE

  • Logistics Carriers: Deliveries are dispatched using Australia Post, New Zealand Post, or authorized third-party courier services.

  • Delivery Timeframes: Shipping estimates provided at checkout or on landing pages are indicative targets provided by freight carriers and are not guaranteed delivery dates. Soothii is not liable for shipping delays caused by carrier disruptions, customs clearances, or weather events.

  • Risk of Loss: Title and risk of loss for products pass to you upon delivery of the goods to the shipping address specified in your order.

5. RETURNS, REFUNDS & STATUTORY CONSUMER GUARANTEES

Your purchases are backed by statutory guarantees under the Australian Consumer Law (ACL) and the New Zealand Consumer Guarantees Act 1993 (CGA). This section incorporates our Master Refund, Returns & Warranty Policy.

5.1. Major Failures & Statutory Rights

If a product arrives damaged, defective, or suffers a major failure (e.g., fabric splits under normal heating, or the item is unfit for its basic purpose), you are entitled to a full refund, repair, or replacement in accordance with the ACL and CGA.

5.2. Change of Mind Returns (14 Days)

We offer a 14-day change-of-mind return policy for unopened, unused, unheated, and sealed items in their original packaging with tags attached.

  • Personal Care Hygiene Exclusion: Because wheat bags absorb body heat and moisture, opened or used items cannot be returned for change of mind.

  • Excluded Items: Sale items, clearance goods, gift cards, and custom orders are non-returnable for change of mind.

  • Costs: Customers are responsible for return postage on change-of-mind returns. Standard restocking fees may apply.

5.3. Exclusions from Warranties & Guarantees

Consumer guarantees and refunds do NOT apply to product damage resulting from:

  • Overheating, microwaving beyond recommended time/wattage settings, or re-heating before the product has completely cooled.

  • Heating in conventional ovens, air fryers, grills, or stoves.

  • Washing, soaking, or submerging the grain core in water.

  • Improper storage resulting in pest infestation, mold, or moisture damage after delivery.

6. HEALTH & THERMAL SAFETY WARNINGS

By purchasing or using Soothii wheat bags, you acknowledge and agree to adhere strictly to all thermal safety instructions:

  • Strict Adherence to Heating Instructions: You must strictly follow all microwaving times, power levels, and cooling directives attached to the product or displayed on our site.

  • Pre-Existing Conditions: Individuals with reduced skin sensitivity, nerve damage, diabetes, circulatory issues, or who are pregnant must consult a medical practitioner before applying heat therapy.

  • Assumption of Risk: Overheating wheat bags creates a risk of scorching, fire, or thermal burns. You assume full legal responsibility for any injury or property damage resulting from failure to follow supplied heating and safety instructions.

7. INTELLECTUAL PROPERTY RIGHTS

All content, software, visual interfaces, website code, graphics, branding, trademarks, logos, photography, product text, and interactive quiz logic contained across our Shopify storefront and landing pages are the exclusive intellectual property of Soothii or its licensors.

You are granted a limited, non-exclusive, non-transferable license to access our Services for personal, non-commercial shopping purposes. You must not copy, reproduce, scrape, distribute, modify, or create derivative works from any part of our site, landing pages, or quiz structures without explicit prior written authorization from Soothii.

8. PROHIBITED USES & USER CONDUCT

You agree that you will not use our Services:

  1. For any unlawful purpose or to solicit others to perform illegal acts.

  2. To submit false, misleading, or deceptive information in checkout forms or interactive quizzes.

  3. To upload or transmit viruses, malicious code, tracking bots, or site-scraping applications.

  4. To circumvent, disable, or interfere with security features of our Shopify storefront, landing pages, or quiz infrastructure.

  5. To resell, redistribute, or commercially exploit Soothii products without a formal wholesale agreement.

9. THIRD-PARTY PLATFORMS & SERVICES

Our Services rely on third-party software infrastructure, including Shopify Inc. (store hosting and checkout), interactive quiz SaaS applications, payment gateways (e.g., Stripe, PayPal, Apple Pay, Shop Pay), and logistics tracking apps.

  • We do not control and are not responsible for third-party platforms, payment processor downtime, or third-party web content linked to our funnels.

  • Your interactions with third-party payment gateways are governed by the respective privacy policies and terms of service of those providers.

10. LIMITATION OF LIABILITY & INDEMNIFICATION

10.1. Limitation of Liability

To the maximum extent permitted by applicable law (including the ACL and CGA), Soothii, its directors, officers, employees, and suppliers shall not be liable for any indirect, incidental, punitive, special, or consequential damages—including lost profits, lost savings, or loss of data—arising out of or connected to your use of our Services, interactive quizzes, or products.

In all cases, Soothii’s maximum aggregate liability to you for any claim arising out of or related to these Terms, the Services, or our products shall not exceed the total dollar amount paid by you for the specific product or order in dispute.

10.2. Indemnification

You agree to indemnify, defend, and hold harmless Soothii and its officers, directors, agents, and employees from and against any third-party claims, liabilities, losses, damages, or costs (including reasonable legal fees) resulting from your breach of these Terms, your misuse of our products, or your violation of any statutory law or third-party right.

11. GOVERNING LAW & SEVERABILITY

  • Governing Law: These Terms, and any disputes or claims arising out of or in connection with them, shall be governed by and construed in accordance with the laws of the State of South Australia, Australia, without regard to its conflict of law principles.

  • Jurisdiction: You irrevocably submit to the non-exclusive jurisdiction of the courts of South Australia and the Federal Court of Australia.

  • Severability: If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

12. AMENDMENTS TO TERMS

We reserve the right to update, modify, or replace any part of these Master Terms of Service at our sole discretion by posting updates to our Shopify storefront or landing pages. The date at the top of this document indicates when these Terms were last revised. Your continued use of or access to our storefront, landing pages, or quiz funnels following the posting of any changes constitutes acceptance of those updates.
